1. This EULA
This End User License Agreement ("EULA") governs your use of the Gather application (the "Licensed Application") provided by Gather, a sole proprietorship ("Licensor"). It supplements, and where consistent applies together with, Apple’s standard Licensed Application End User License Agreement and our Terms and Conditions. The Licensed Application is licensed, not sold, to you.
2. Scope of License
Licensor grants you a non-transferable license to use the Licensed Application on any Apple-branded products that you own or control, as permitted by the App Store Usage Rules. You may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time, or transfer, redistribute, or sublicense it.
3. Not Sold; Reservation of Rights
All rights not expressly granted to you are reserved by Licensor and its licensors. The Licensed Application and all intellectual property in it remain the property of Licensor and its licensors.
4. Apple Is Not a Party
This EULA is between you and Licensor only, and not with Apple. Apple is not responsible for the Licensed Application or its content.
5. Maintenance and Support
Licensor is solely responsible for providing any maintenance and support for the Licensed Application, as specified in our Terms or as required by law. Apple has no obligation to furnish any maintenance or support services.
6. Warranty
Licensor is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the Licensed Application fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a warranty failure are Licensor’s responsibility.
7. Product Claims
Licensor, not Apple, is responsible for addressing any claims relating to the Licensed Application or your use of it, including product-liability claims, claims that the Licensed Application fails to conform to a legal or regulatory requirement, and claims under consumer-protection, privacy, or similar legislation.
8. Intellectual Property Claims
Licensor, not Apple, is responsible for the investigation, defense, settlement, and discharge of any third-party intellectual-property infringement claim relating to the Licensed Application or your possession and use of it.
9. Legal Compliance
You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
10. Third-Party Beneficiary
You acknowledge and agree that Apple and Apple’s subsidiaries are third-party beneficiaries of this EULA, and that upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.
